Regarding the announcement made by Saudi Electricity Company ("SEC") on the Tadawul website of the Saudi Exchange on March 30, 2023, which corresponds to September 8, 1444, regarding its intention to establish an international Sukuk program and the issuance of U.S.-dollar denominated green and/or conventional Sukuk thereunder (the "Sukuk Offering"), SEC announces that it has started the Sukuk Offering under its recently established international Sukuk program on March 31, 2023.The Sukuk Offering will be made available to qualified investors in the Kingdom of Saudi Arabia and abroad through a special purpose company. This announcement is subject to the terms and conditions of the Sukuk and is not meant to constitute an invitation or offer to buy, acquire, or subscribe to any securities. According to the applicable rules and regulations, the SEC will promptly announce any other material developments that are relevant.
A London Stock Exchange listing for the Sukuk will be made. In accordance with the US Securities Act of 1933, as amended, the sukuk may be sold.
It is important to note that, subject to market conditions, the issuance end date mentioned above is the anticipated day the sukuk offering would be finished.
